A former Gujarat High Court judge Justice S D Dave will preside over the merger of Reliance Industries Ltd (RIL) and Reliance Petroleum Ltd (RPL).
The Gujarat High Court today approved Justice Dave’s name for chairing a meeting called by RPL over the merger process of the two companies.
Following the joint decision regarding the merger last week, RPL, headquartered in Jamnagar, had moved an application in the High Court for holding a meeting of RPL shareholders and appointment of a chairman to preside over it.
The Gujarat High Court has approved the name of Justice Dave to preside over the meeting on April 9, in which shareholders, secured creditors – Class I and II – and unsecured creditors will remain present, sources familiar with the development said.
During the meeting, a resolution regarding the merger would be put to vote and after the ballot, counting would be conducted.
Subsequently, the chairman of the meeting will prepare a report to be submitted to the High Court regarding the outcome.
Based on that report, a petition will be moved in the High Court for the merger of RPL with RIL, the sources said. When contacted, senior counsel Kirtikant Nanavati said he had moved an application on behalf of RPL in the High Court seeking its approval on the appointment of Justice Dave as chairman for the meeting of RPL shareholders and fixing a date for the meeting.
Justice Dave, a legal luminary, has a vast experience in corporate affairs, taxation and related areas and has been involved in the merger of several corporate entities in the past.
He has also headed three commissions under the Commission of Inquiry Act in Gujarat and has been the chairman of Gujarat State Law Commission and Gujarat Electricity Regulatory Commission (GERC).
